Terms of Service

Last updated: October 10, 2026

1. Acceptance of Terms

By accessing or using WayRun, you agree to be bound by these Terms of Service. If you are using WayRun on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

WayRun provides operational compliance, fixed-facility task boards, and mobile field dispatch tools. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Subscription, Billing, and Cancellations

Paid subscriptions (Lite and Pro tiers) are billed in advance on a monthly basis and are processed securely through Stripe. You may cancel your subscription at any time via your billing portal; cancellation takes effect at the end of your current paid billing cycle. Refunds are evaluated on a case-by-case basis.

4. Customer Data & Intellectual Property

You retain full ownership of all data, text, and operational records you input into WayRun. We grant you a limited, non-exclusive license to use the platform. WayRun's source code, UI, and branding remain our exclusive intellectual property.

5. Artificial Intelligence & Data Ownership

Your operational data remains strictly your own. WayRun does not use your private workforce data, job logs, locations, or customer information to train artificial intelligence (AI) models. We do not use AI to autonomously manage your data or make employment-impacting decisions without human oversight. Any automated routing or parsing tools provided within the platform are strictly isolated, ensuring your proprietary data is never exposed to public AI systems.

6. Limitation of Liability

WayRun is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by applicable law, WayRun shall not be liable for any indirect, incidental, or consequential damages, or any loss of profits or operational data arising out of your use of the service.

7. Employment Compliance & GPS Tracking

WayRun is an operational reporting tool, not an authorized payroll, tax, or legal compliance system. The Customer is solely responsible for ensuring employee meal breaks, minimum wage, and overtime compliance under all applicable local, national, and international labor laws. Furthermore, the Customer represents and warrants that it has provided all legally required statutory notices and obtained explicit, written consent from its personnel to monitor their device location via GPS during active shifts.

8. Traffic Safety & Field Use

Users must comply with all local traffic laws and regulations. Interacting with the WayRun application while operating a motor vehicle is strictly prohibited. WayRun disclaims all liability for any traffic citations, vehicular accidents, personal injuries, property damage, or lost commercial revenue occurring during shifts or while utilizing our platform.

9. Indemnification

You agree to defend, indemnify, and hold harmless WayRun , its affiliates, and its operators from and against any third-party claims, damages, liabilities, or legal fees arising from your use of the service, your violation of these terms, or any employment-related claims (including but not limited to wage and hour disputes or wrongful termination) brought by your personnel.

10. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which WayRun is established, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach thereof shall be resolved by confidential, binding, individual arbitration. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration, regardless of your geographic location.
